Terms and Conditions

1. Definitions

The following terms, when capitalized in this document, have the meanings set out below:

• App / Application: the Olea mobile application available on iOS and Android.
• Company / We / Us / Our: Olea, operated by MMT Momentum Labs FZCO, registered in Dubai, UAE.
• Service: all features, content, and functionality provided through the App and associated website.
• User Content: any photos, text, data, or other material submitted by you through the App, including food photos, progress photos, and manually entered food entries.
• You / User: any individual who downloads, accesses, or uses the App.
• Device: any electronic device through which you access the Service, such as a smartphone or tablet.
• Subscription: a paid plan granting access to premium features of the App.

2. Acceptance of Terms

By downloading, installing, or using Olea (the "App"), you agree to these Terms and Conditions and our Privacy Policy. If you do not agree, do not use the App. These terms constitute a legally binding agreement between you and Olea, operated by MMT Momentum Labs FZCO ("we," "us," or "our").

3. Description of Service

Olea is an AI-powered calorie and nutrition tracking application available on iOS and Android. The App allows users to:

• Log meals by taking photos, scanning barcodes, or entering descriptions
• Receive AI-generated nutrition estimates using computer vision technology
• Track daily calorie, protein, carbohydrate, and fat intake
• Set personalized nutrition goals based on health objectives
• Monitor progress toward weight management goals

Important: Olea provides nutritional information for general wellness purposes only. It is not a medical device, and information provided by the App should not replace advice from a qualified healthcare professional.

4. Eligibility

You must be at least 16 years old to use Olea. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms. We do not knowingly collect personal information from children under 16. If we learn we have collected such information, we will delete it promptly.

5. Account Registration

To access core features, you must create an account using your email address (via magic link), Sign in with Apple, or Sign in with Google. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately at contact@olea.plus if you suspect unauthorized access
• Providing accurate and complete registration information

We reserve the right to terminate accounts that violate these Terms or are inactive for an extended period.

6. Subscriptions and Billing

Olea offers a free trial and paid subscription plans:

• Free trial: A limited-time trial period may be offered to new users. Trial duration and terms are disclosed at sign-up.
• Paid plans: Subscriptions are billed on a monthly or annual basis through the Apple App Store or Google Play Store.
• Auto-renewal: Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current billing period.
• Cancellation: You may cancel at any time via your App Store / Play Store account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued.
• Price changes: We will notify you of price changes with reasonable advance notice. Continued use after a price change constitutes acceptance.

All billing is managed by Apple or Google. We do not store your payment card information.

7. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of these Terms
• Reverse engineer, decompile, or attempt to extract source code from the App
• Use automated tools (bots, scrapers) to access the App or its API
• Attempt to gain unauthorized access to other users' accounts or our systems
• Upload content that is illegal, harmful, abusive, or infringes third-party rights
• Upload images or content without the consent of any individuals depicted
• Resell or sublicense access to the App without our written consent
• Interfere with or disrupt the integrity or performance of the App

8. User Content and Intellectual Property

All content, features, and functionality of Olea, including the kiwi mascot, logo, interface design, software, and text, are owned by Olea and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes. This license does not include the right to copy, modify, distribute, or create derivative works.

By submitting User Content (including food photos and meal entries) through the App, you grant us a worldwide, royalty-free, sublicensable license to use, store, process, and analyze that content solely to operate, maintain, and improve the Service, including internal AI model training on anonymized data.

Progress photos are never used for AI model training. Food photos may be used in anonymized or aggregated form to improve our nutrition recognition models; they are not associated with your identity in that context.

You represent and warrant that you own or have the necessary rights to submit any User Content, and that your content does not violate the rights of any third party.

9. AI-Generated Nutritional Information

Calorie and macro estimates generated by AI (Claude vision model) are approximations. Accuracy depends on photo quality, portion size visibility, and food complexity. You acknowledge that:

• AI estimates may not be 100% accurate for all foods or preparations
• The App should not be used as the sole basis for medical nutrition decisions
• Persons with medical conditions (e.g., diabetes, eating disorders) should consult a healthcare professional before relying on the App

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses. We make no warranty regarding the accuracy of nutritional information provided.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OLEA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless Olea, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law

These Terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Dubai. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, unless applicable consumer protection law in your country of residence requires otherwise.

14. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver will only be effective if made in writing and signed by an authorized representative of Olea.

15. Copyright Infringement Notice

We respect intellectual property rights. If you believe that any content available through the App infringes your copyright or other intellectual property rights, please send a written notice to contact@olea.plus including:

• A description of the copyrighted work you claim has been infringed
• A description of the material you claim is infringing and its location in the App
• Your contact information (name, address, email)
• A statement that you have a good-faith belief that the use is not authorized by the rights owner
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights owner or authorized to act on their behalf

We will review all notices and take appropriate action, which may include removing or disabling access to the allegedly infringing content.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and notify you via email or in-app notification for material changes. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.
